1. Acceptance of Terms

By clicking "I Agree" and registering for Speed Control ("Service"), you ("Customer") agree to be legally bound by these Terms and Conditions. If you do not agree, you may not use the Service.

2. Service Overview

Speed Control is a software platform provided by Arcadia IT Partners, LLC ("Company") that enables Customers to monitor, automate, and adjust internet bandwidth and network performance settings.

The Service may:

• Adjust bandwidth levels based on schedules or automation rules
• Interface with your network equipment and internet service providers ("ISPs")
• Provide reporting, analytics, and estimated savings

3. Important Service Limitations

Speed Control is not an internet service provider and does not deliver internet connectivity.

You acknowledge:

• All internet services are provided by third-party ISPs
• The Company has no control over ISP performance, pricing, or availability
• Network performance depends on your environment and third-party systems

4. No Guarantees (Critical)

To the fullest extent permitted by law:

• The Service is provided "AS IS" and "AS AVAILABLE"
• No warranties are made regarding internet speed, uptime, or performance
• No warranties are made regarding execution of automated changes
• No warranties are made regarding compatibility with all environments or providers

No Savings Guarantee: Any projected savings, ROI, or optimization results are estimates only, not guaranteed, and dependent on usage, carrier billing, and configuration.

5. Customer Responsibilities

You are solely responsible for:

• Your network, hardware, and environment
• Your ISP contracts and services
• Configuring and approving automation settings
• Ensuring settings meet your business and compliance needs

6. Authorization to Modify Network Settings

By using the Service, you expressly authorize Speed Control to adjust bandwidth levels, execute automated network configuration changes, and apply schedules and policies you define.

7. Third-Party Services and ISPs

The Company is not responsible for ISP outages, throttling, or service issues; changes in ISP pricing, billing, or policies; failures of routers, firewalls, or third-party systems; or any degradation caused by your environment.

8. Limitation of Liability

No Indirect Damages: The Company is not liable for lost profits or revenue, business interruption or downtime, data loss or corruption, SLA penalties or carrier charges, or any indirect or consequential damages.

Liability Cap: Total liability is limited to the lesser of 2x the amount paid for the Service, or $5,000.

9. Indemnification

You agree to defend and indemnify the Company against any claims arising from your use or misuse of the Service, your network or environment, ISP disputes or failures, violations of law or third-party agreements, or any commitments you make to customers relying on this Service.

10. No Service Level Agreement (SLA)

Unless explicitly agreed in writing, no uptime guarantees or SLA commitments apply. APIs, integrations, or features may be modified or discontinued at any time.

11. Service Availability and Changes

The Company may modify, suspend, or discontinue features; apply rate limits or updates; and perform maintenance without notice.

12. Termination

Service is billed monthly unless otherwise agreed. You may cancel before the next billing cycle. The Company may suspend or terminate for non-payment or violations. Upon termination, automation will stop and you retain full control of your network.

13. Claims Time Limit

Any claim must be brought within one (1) year of the event or it is permanently barred.

14. No Injunctive Relief

You agree that remedies are limited to monetary damages and you will not seek to block, stop, or interfere with operation of the Service.

15. No Third-Party Rights

These Terms apply only between you and Arcadia IT Partners. No third party (including ISPs or end users) has rights under this agreement.

16. Governing Law

These Terms are governed by the laws of the State of Minnesota.

17. Agreement Confirmation

By clicking "I Agree," you confirm that you have authority to bind your organization, you understand the risks and limitations of the Service, and you authorize Speed Control to operate within your network.
